General Terms and Conditions of Biosecurity BV, located in Someren (NL)
1. General
1.1 These general terms and conditions apply to every offer made by Biosecurity BV and to every agreement concluded between Biosecurity BV and a consumer. The terms are accessible to everyone and can be found on the Biosecurity BV website. Upon request, we will send you a written copy.
1.2 By placing an order, you indicate that you agree to the delivery and payment terms. Biosecurity BV reserves the right to change its delivery and/or payment terms after the expiry of the term.
1.3 Unless otherwise agreed in writing, Biosecurity BV does not acknowledge general or specific conditions or stipulations of third parties.
1.4 Biosecurity BV guarantees that the delivered product complies with the agreement and meets the specifications stated in the offer.
2. Delivery
2.1 Delivery takes place while supplies last.
2.2 In accordance with the rules of distance selling, Biosecurity BV will execute orders within at least 7 working days unless a different delivery period has been agreed upon. If delivery within 7 working days or the otherwise agreed period is not possible (because the ordered item is out of stock or no longer available), or there is a delay for other reasons, or an order cannot be fulfilled entirely or partially, the consumer will be notified within 3 working days of placing the order and will then have the right to cancel the order at no cost and without notice of default.
2.3 Biosecurity BV's delivery obligation will, unless proven otherwise, be deemed fulfilled once the items delivered by Biosecurity BV have been offered to the customer once. For home deliveries, the carrier's report of refusal of acceptance constitutes full proof of the offer to deliver.
2.4 All terms mentioned on the website are indicative. Therefore, no rights can be derived from the mentioned terms.
3. Prices
3.1 Prices will not be increased during the validity period of the offer, unless required by law or if the manufacturer implements interim price increases.
3.2 All prices on the website are subject to printing and typographical errors. No liability is accepted for the consequences of such errors.
3.3 All prices on the website are in Euros and include 21% VAT.
4. Cooling-Off Period / Right of Withdrawal
4.1 In the case of a consumer purchase in accordance with the Dutch Distance Selling Act (Article 7:5 BW), the buyer has the right to return (part of) the delivered goods within a period of 14 working days without providing a reason. This period starts from the moment the ordered items are delivered. The buyer is required to notify Biosecurity BV in writing within this 14-day period before proceeding with the return. If the buyer does not notify within the 14-day period, the purchase becomes final.
During the cooling-off period, the consumer must handle the product and packaging with care. The product may only be unpacked or used to the extent necessary to assess its nature, characteristics, and functioning. If the consumer exercises the right of withdrawal, the product must be returned within 28 days of receipt, following the reasonable and clear instructions provided by Biosecurity BV.
The buyer must prove the timely return of the items, for example, by providing proof of postage. If the withdrawal right is exercised, the product must be returned with all supplied accessories and, if reasonably possible, in its original condition and packaging. If the items have been used, damaged, or in any way altered, Biosecurity BV reserves the right to charge a depreciation fee. Biosecurity BV will refund the purchase price within 14 days of receipt of the return or proof of return, provided the contents of the return are explicitly mentioned on the proof of postage. If the entire order is returned, the full purchase price, including any charged shipping or payment costs, will be refunded. If only part of the order is returned, only the value of the returned items will be refunded. Additional costs for more expensive shipping methods than the cheapest standard delivery are never refunded.
The return of delivered items is entirely at the buyer's expense and risk.
4.2 The right of withdrawal does not apply to:
- Service agreements after full performance of the service, and only when the performance has started with the consumer's express prior consent, and the consumer has declared that the right of withdrawal is lost once the entrepreneur has fully performed the agreement.
- Goods or services whose price depends on fluctuations in the financial market that are beyond the supplier's control and which may occur within the withdrawal period.
- Goods made to the consumer’s specifications, such as custom-made products or items with a clear personal character.
- Products whose shelf life expires within the 14-day cooling-off period.
- Sealed products that are unsuitable for return for health or hygiene reasons and whose seal has been broken after delivery.
- Sealed audio, video, or software carriers whose seal has been broken.
- Goods or services that, by their nature, cannot be returned, such as hygiene-related items or those that deteriorate or age quickly.
- Single newspapers and magazines.
5. Data Management
5.1 If you place an order with Biosecurity BV, your details will be recorded in Biosecurity BV’s customer database. Biosecurity BV complies with the Personal Data Protection Act and will not share your information with third parties. See our Privacy Policy at: www.zoolac.nl/privacy.
5.2 Biosecurity BV respects the privacy of users of its website and ensures the confidential treatment of your personal data.
5.3 In some cases, Biosecurity BV uses a mailing list. Each mailing includes instructions on how to unsubscribe from this list.
6. Warranty and Compliance
6.1 The entrepreneur guarantees that the products and/or services comply with the agreement, the specifications stated in the offer, reasonable requirements of reliability and/or usability, and any statutory provisions and/or government regulations applicable on the date the agreement was concluded.
6.2 Any warranty arrangement offered by the entrepreneur, manufacturer, or importer does not affect the rights and claims that the consumer may assert under the law and/or the distance agreement regarding a shortcoming in the entrepreneur’s fulfillment of their obligations.
6.3 If it is established that the delivered goods are incorrect, defective, or incomplete, the buyer must report these defects in writing to Biosecurity BV within 2 months after discovering the defect before proceeding with the return of the goods. Returns must be made in the original packaging (including accessories and accompanying documentation). Use of the product after discovering a defect, damage caused after discovering a defect, encumbrance, and/or resale after discovering a defect invalidates the right to claim and return.
6.4 If complaints from the buyer are found to be justified by Biosecurity BV, Biosecurity BV will, at the buyer’s choice, either repair or replace the delivered goods free of charge. Any liability of Biosecurity BV for damages is limited to the invoice value of the items in question, or (at Biosecurity BV’s discretion) to the maximum amount covered by Biosecurity BV’s liability insurance in the relevant case. Biosecurity BV is not liable for any other form of damage, including but not limited to additional compensation, indirect or consequential damages, or loss of profit.
6.5 Biosecurity BV is not liable for damages caused by intent or gross negligence on the part of non-management staff.
6.6 This warranty does not apply if: A) the buyer is in default towards Biosecurity BV; B) the buyer has repaired and/or modified the delivered goods themselves or has had them repaired/modified by third parties; C) the delivered goods have been exposed to abnormal conditions, handled carelessly, or used contrary to the instructions of Biosecurity BV and/or the packaging guidelines.
7. Offers
7.1 Offers are non-binding unless stated otherwise in the offer.
7.2 Upon acceptance of a non-binding offer by the buyer, Biosecurity BV reserves the right to withdraw or deviate from the offer within 3 working days of receiving acceptance.
7.3 Verbal commitments only bind Biosecurity BV after they have been explicitly confirmed in writing.
7.4 Offers from Biosecurity BV do not automatically apply to repeat orders.
7.5 Biosecurity BV is not bound by its offer if the buyer should have reasonably understood that the offer or part of it contained an obvious mistake or typographical error.
7.6 Additions, amendments, and/or further agreements are only valid if agreed upon in writing.
8. Agreement
8.1 An agreement between Biosecurity BV and a customer is established once Biosecurity BV has assessed the feasibility of the order.
8.2 Biosecurity BV reserves the right to refuse orders or assignments without stating the reason or to accept them only on the condition that shipment is made cash on delivery or after advance payment.
9. Images and Specifications
9.1 All images, including photos, drawings, and other materials, as well as data on weights, dimensions, colors, and labels provided on Biosecurity BV's website, are indicative, approximate, and cannot serve as grounds for compensation or contract termination.
10. Force Majeure
10.1 Biosecurity BV is not liable if its obligations cannot be fulfilled due to force majeure.
10.2 Force majeure includes any external cause or circumstance beyond the reasonable control of Biosecurity BV, such as delays or defaults by suppliers, internet outages, electricity failures, email disruptions, changes in third-party technology, transportation difficulties, strikes, governmental measures, delays in supply, negligence by Biosecurity BV's suppliers or manufacturers, auxiliary personnel, employee illnesses, or defects in auxiliary or transport equipment.
10.3 In the event of force majeure, Biosecurity BV reserves the right to suspend its obligations, dissolve the agreement entirely or partially, or demand modification of the contract's terms to ensure feasibility, without incurring penalties or damages.
10.4 If Biosecurity BV has partially fulfilled its obligations or can only partially fulfill them at the onset of force majeure, it is entitled to invoice the delivered or deliverable part separately. The customer must pay this invoice as though it were a separate contract, provided the delivered or deliverable part has independent value.
11. Liability
11.1 Biosecurity BV is not liable for damages to vehicles or other objects caused by improper use of the products. Please read the instructions on the packaging or consult our website before use.
12. Retention of Title
12.1 Ownership of all goods sold and delivered by Biosecurity BV remains with Biosecurity BV until the customer has fully paid all claims arising from the agreement or similar past or future agreements, including claims for penalties, interest, and costs, as stipulated under Article 3:92 of the Dutch Civil Code.
12.2 Goods delivered under retention of title may only be resold in the normal course of business and may never be used as a means of payment.
12.3 The customer is not permitted to pledge or encumber goods subject to retention of title.
12.4 The customer grants Biosecurity BV or its designated third party unconditional and irrevocable permission to enter any location where goods under retention of title are stored to retrieve them.
12.5 If third parties seize goods delivered under retention of title or seek to establish or assert rights on them, the customer is obligated to notify Biosecurity BV promptly.
12.6 The customer must insure and maintain insurance for goods delivered under retention of title against fire, explosion, water damage, and theft, and provide the policy upon Biosecurity BV's request.
13. Intellectual Property Rights
13.1 Biosecurity BV expressly retains all intellectual property rights (including trademarks) related to the goods it delivers.
14. Complaints Procedure
14.1 The entrepreneur maintains a complaints procedure that is sufficiently publicized and handles complaints in accordance with this procedure.
14.2 Complaints about the execution of the agreement must be submitted to the entrepreneur in writing, clearly and fully described, within 7 days of the consumer discovering the defects.
14.3 Complaints submitted to the entrepreneur will be responded to within 14 days from the date of receipt. If a complaint requires longer processing time, the entrepreneur will acknowledge receipt within 14 days and provide an estimate of when the consumer can expect a more detailed response.
14.4 If a complaint cannot be resolved by mutual agreement, it results in a dispute that is subject to mediation.
14.5 In case of complaints, the consumer must first contact the entrepreneur. If no resolution is achieved, the consumer can seek mediation from Stichting WebwinkelKeur (www.webwinkelkeur.nl) free of charge. If this does not lead to a resolution, the consumer may submit the complaint to Stichting GeschilOnline (www.geschilonline.com), whose decision is binding. Costs for submitting a dispute to this committee must be borne by the consumer. Complaints may also be submitted via the EU ODR platform (http://ec.europa.eu/odr).
14.6 A complaint does not suspend the entrepreneur's obligations unless the entrepreneur states otherwise in writing.
14.7 If a complaint is deemed valid by the entrepreneur, the entrepreneur will replace or repair the delivered products free of charge.
